Main Duties & Responsibilities

  1. Vetting and reviewing basic  contracts, contract  templates, NDAs,   MOUs, CTAs and other documents which NHG enters into with third parties, e.g. building contracts, uniform supply contracts, Training Bonds, Sponsorship Deeds, Speakers’ Engagement Letters and Doctors’ Consultancy Agreements with healthcare-related commercial organizations, employment contracts, Service Agreements, Non-Confidentiality Agreements, Collaboration Agreements, and Lease or Licence Agreements; and in particular, reviewing, negotiating and advising on Information and Communication Technology agreements for the various types of IT systems implemented throughout the various NHG Institutions and their attendant Service Level Agreements, software licensing agreements and Terms of Use;
  2. Liaising with NHG’s external lawyers that are handled by them;
  3. Advising NHG Finance and other business units / teams on the various terms and conditions of NHG’s Insurance Policies;
  4. Advising NHG and NHG Institutions’ HR departments on employment and staff related issues, including advising on staff disciplinary issues and inquiries, reviewing of employment contracts, miscellaneous documentation such as dismissal letters, and internal HR policies.
  5. Assisting various business units and departments in review of internal policies covering various subject matters such as IT, data protection, data security, etc.
  6. Providing legal input on the registration of the service mark and any trade marks which may need to be registered on behalf of NHG; the drafting of copyright provisions in publications and books written by the doctors and allied healthcare professionals and rendering preliminary advice on the protection of the intellectual property rights;

  7. To review contracts for NHG on a periodic basis for compliance with new laws and regulatory guidelines such as the Personal Data Protection Act (“PDPA”), the Prevention of Corruption Act and the HPA and the HBRA, ensuring that these are kept up to date with developments in caselaw in local and overseas jurisdictions, in keeping with international best practices.

  8. Conducting internal training seminars for NHG and NHG Institution staff on general areas of law such as basics of contracting.
  9. Corporate Secretarial Work - assist the company’s Corporate Secretarial team in coordinating NHG’s formal decision-making and reporting process, formulating meeting agendas with the Chairman and/or Chief Executive, attending and taking Minutes, maintaining Minute book and Statutory Register Book, ensuring that correct procedures are followed, , obtaining internal and external agreement to all documentation for circulation to shareholders, assisting with directors, members, managers, secretaries, auditors and share transfers, drafting and incorporating amendments in accordance with the correct procedures, updating the Accounting Corporate & Regulatory Authority (ACRA) on changes in directors or particulars relating to directors, deadlines for filing and other regulatory compliance work preparing Director’s Report, reviewing developments in corporate governance and assisting the Directors with respect to their duties and responsibilities, assisting in understanding and complying with compliance with their personal obligations under company law and, if applicable, Stock Exchange requirements;
  10. Any other duties as assigned by the Supervisor/Head of Department. 

 

Job Requirements

1. LLB (Hons) + Called to the Bar in Singapore

2. At least 2 to 5 years of litigation /general corporate experience coupled with 1 to 4 years of in-house counsel experience

3. Basic understanding of defined specialities

4. Able to handle routine matters with little guidance/supervision
